Terms of Use

These terms (the “Terms”) govern your access to and use of the Papertools application and related services (the “Service”), operated by Papertools (ABN 43 403 083 077), a sole trader based in Western Australia, Australia. By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Papertools provides cloud-based tools for invoicing and business management — including invoices, estimates, expenses, payments, payroll, and projects. Features may be added, changed, or removed over time.
2. Eligibility & accounts
You must be at least 18 and able to form a binding contract to use the Service. You agree to provide accurate information, keep your credentials secure, and remain responsible for all activity under your account. We recommend enabling two-factor authentication.
3. Your content
You retain ownership of the data you put into the Service (“Your Content”). You grant us a limited license to host, process, and transmit Your Content solely to operate and provide the Service. You are responsible for Your Content and confirm you have the rights necessary to use it.
4. Acceptable use
You agree not to:
- use the Service for any unlawful purpose;
- send fraudulent, deceptive, or unsolicited bulk messages (e.g. spam or fake invoices);
- impersonate any person or entity, including Papertools;
- infringe others’ intellectual-property or privacy rights;
- interfere with, disrupt, or attempt to gain unauthorized access to the Service; or
- reverse-engineer the Service except to the extent permitted by law.
5. Not professional advice
Papertools is a tool, not a provider of legal, tax, or accounting advice. You are responsible for the accuracy, legality, and tax treatment of the documents you create and send using the Service.
6. Plans & billing
Paid plans are billed per workspace on a recurring basis (monthly or annually, as you choose). Unless you cancel, your plan renews automatically at the end of each billing period at the then-current price. You can cancel anytime in Settings → Billing; cancellation takes effect at the end of the current period and you keep access until then. Fees and applicable taxes are shown at signup and in Settings → Billing, and are non-refundable except where required by law. We may change pricing with reasonable notice.
7. Suspension & termination
You may close your account at any time; we confirm the request with a code we email you, then permanently delete it after a short grace period during which you can cancel by signing back in. Workspaces you own are deleted separately and can be restored for 7 days before they're permanently removed. We may suspend or terminate access if you violate these Terms or to protect the Service or other users. On termination, your right to use the Service ends.
8. Intellectual property
Papertools and its licensors own the Service, including its software, design, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service — and no other rights.
9. Third-party services
The Service may link to or integrate with third-party services that are governed by their own terms and privacy policies. We are not responsible for those services.
10. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the fullest extent permitted by law.
11. Limitation of liability
To the maximum extent permitted by law, Papertools will not be liable for indirect, incidental, special, or consequential damages, and our total liability for any claim is limited to the amount you paid for the Service in the 12 months before the claim arose.
12. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law (ACL) or any other law that cannot lawfully be excluded. Where the Service comes with a non-excludable guarantee and the law permits us to limit our liability for its breach, our liability is limited — at our option — to re-supplying the Service or paying the cost of having it re-supplied. The disclaimers and liability limits above apply only to the extent permitted by law.
13. Indemnification
To the extent permitted by law, you agree to indemnify and hold Papertools harmless from claims arising out of your use of the Service or Your Content in violation of these Terms.
14. Governing law
These Terms are governed by the laws of Western Australia, Australia, and you and we submit to the non-exclusive jurisdiction of its courts. This does not deprive you of the protection of any mandatory consumer laws that apply where you live.
15. Changes to these Terms
We may update these Terms from time to time. We will revise the “last updated” date above, and for material changes we will provide reasonable notice. Your continued use of the Service after changes take effect means you accept the revised Terms.
16. General
These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Service and replace any prior understanding. If any provision is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them to a successor (for example, in a sale of the business). Neither party is liable for delays or failures caused by events beyond its reasonable control. We may give you notices by email or in-app.
